1. Acceptance of Terms

By engaging Vida Digital Solutions LLC ("Company," "we," "us," or "our") for any services, or by accessing our website at vidadigitalsolutions.com or our products including Quasar CRM (quasarcrm.com), you ("Client," "User," or "you") agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between you and Vida Digital Solutions LLC, a limited liability company registered in Miami, Florida, United States of America (EIN: 36-5068966). Our Brazilian operations are conducted through a Microempreendedor Individual (MEI/EI) entity (CNPJ: 42.133.065/0001-55).

If you do not agree to these Terms, do not engage our services or use our products.


2. Description of Services

2.1 Implementation & Consulting Services

Vida Digital Solutions provides the following professional services:

2.2 Quasar CRM — SaaS Product

Quasar CRM is a white-label CRM platform powered by GoHighLevel technology, offered under a separate subscription agreement. Access to Quasar CRM is governed by the applicable subscription plan selected at sign-up, in addition to these Terms.

2.3 Scope of Work

All implementation projects begin with a Discovery phase during which both parties agree in writing on the project scope, deliverables, timeline, and pricing. No work begins beyond the Discovery phase without a signed Statement of Work (SOW) or equivalent written confirmation.


3. Payment Terms

3.1 Pricing and Currency

All service fees are quoted and invoiced in the currency specified in the Statement of Work (SOW). We accept payment in USD, EUR, and BRL.

3.2 Milestone-Based Billing

Implementation projects are billed in milestones as defined in the Statement of Work. Payment for each milestone is due within 7 (seven) calendar days of milestone delivery notification, unless otherwise agreed in writing.

3.3 Payment Methods

We accept payment via Stripe (credit/debit card, international bank transfers), Wise (international transfers), ACH/wire transfer, and PIX (for BRL transactions).

3.4 Late Payments

Invoices unpaid after 14 days from the due date may incur a late fee of 1.5% per month on the outstanding balance. The Company reserves the right to suspend services for accounts with balances exceeding 30 days past due.

3.5 Refund Policy

Fees paid for completed milestones are non-refundable. Monthly SaaS subscriptions may be cancelled with notice, with no refunds for the current billing period.


4. Client Obligations

To ensure successful project delivery, the Client agrees to:

Delays caused by the Client's failure to fulfill these obligations may result in revised timelines and/or additional charges.


5. Intellectual Property

5.1 Pre-existing IP

Each party retains ownership of intellectual property created prior to or outside the scope of this engagement. Vida Digital Solutions retains ownership of its proprietary methodologies, workflow templates, and automation frameworks.

5.2 Deliverables

Upon full payment of all project fees, the Client receives a non-exclusive license to use the configured systems and workflows. The underlying methodologies and know-how remain the property of Vida Digital Solutions.

5.3 Third-Party Platforms

All third-party platform licenses (GoHighLevel, ClickUp, n8n, ZapSign, etc.) are governed by those platforms' own terms of service.


6. Confidentiality

Both parties agree to keep confidential all proprietary information disclosed during the engagement, including business processes, pricing, customer data, and technical architectures. This obligation survives termination for 3 years.


7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID IN THE 3 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.


8. Warranties and Disclaimers

The Company warrants services will be performed with reasonable professional skill. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. The Company does not warrant third-party platform availability, as changes to their APIs or features are outside our control.


9. Termination

Either party may terminate with 14 days written notice. Upon termination, the Client shall pay for all work completed through the termination date. The Company may terminate immediately for non-payment (30+ days) or material breach.


10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States of America. Disputes shall be resolved by binding arbitration under AAA rules in Miami, Florida. For Brazilian clients, disputes may alternatively be resolved under Brazilian law in Belo Horizonte, MG.
